3.1 To use the Service, you must:
- be at least 18 years of age;
- have the legal capacity to enter into a binding contract under the law of England and Wales;
- provide accurate and complete information during registration and keep it up to date throughout your use of the Service; and
- have a valid payment method accepted by Dream.
3.2 By registering for an Account, you confirm that you meet all eligibility requirements. Dream reserves the right to suspend or terminate Accounts where eligibility requirements are not met or cease to be met.
4. Account Registration
4.1 You must register for an Account to use the Service. You agree to provide accurate, current, and complete information during registration.
4.2 You are responsible for maintaining the confidentiality of your Account credentials. You must notify us immediately at hello@usedream.ai if you become aware of any unauthorised use of your Account.
4.3 You are responsible for all activity carried out under your Account, whether or not authorised by you, except to the extent that such activity arises directly from Dream's negligence or breach of these Terms.
4.4 You may only hold one Account. Creating duplicate or multiple Accounts is prohibited and may result in termination of all associated Accounts.
5. The Service
5.1 Dream provides an AI-powered Personal Assistant that performs a wide range of tasks on your behalf. The Service may include, but is not limited to:
- Digital task management: managing your email inbox, organising your calendar, scheduling appointments, conducting online research, and drafting correspondence;
- Online actions: making purchases online, checking you in for flights, booking restaurants or services, and similar online actions, each subject to your explicit Purchase Authorisation;
- Physical tasks: where available in your area, coordinating real-world tasks such as collecting dry cleaning, arranging local deliveries, or other physical errands carried out by our on-location Human Team.
5.2 The availability of specific features, including physical task fulfilment, may vary by location and Subscription Plan. Dream will make reasonable efforts to notify you of any material limitations that apply to your Account before you are charged for unavailable services.
5.3 The Service is an assistance tool. Dream does not provide legal, financial, medical, or other professional advice. Nothing communicated through the Service should be construed as professional advice of any kind.
5.4 Dream will use reasonable endeavours to ensure high availability of the Service but does not guarantee uninterrupted access. Planned maintenance will be communicated to you in advance where reasonably practicable.
6. Human-in-the-Loop Service Delivery
6.1 You acknowledge and agree that the Service is delivered through a combination of:
- artificial intelligence systems operated by Dream; and
- human team members employed or engaged by Dream ("Human Team").
6.2 Depending on your Subscription Plan, a specified number of Human Hours are allocated to your Account each calendar month. Human Team members may:
- handle digital tasks requiring human judgement, sensitivity, or where AI assistance alone is insufficient;
- review, quality-check, or supplement AI-generated outputs; and
- fulfil physical tasks in your local area, where applicable and available.
6.3 You accept that you may have limited visibility into which tasks are handled by AI and which by Human Team members. By accepting these Terms, you explicitly consent to this blended delivery model.
6.4 All Human Team members are subject to confidentiality obligations and are granted access to your Account data only to the extent necessary to fulfil the specific tasks assigned to them. Dream takes reasonable technical and organisational steps to enforce this.
6.5 Physical task fulfilment (such as dry cleaning collection or local deliveries) is carried out by Dream's on-location Human Team. Availability is subject to your location and operational capacity at the relevant time. Dream will confirm availability before accepting a physical task instruction.
6.6 Where a task is time-sensitive, you should communicate your deadline clearly. Dream will use reasonable endeavours to meet stated deadlines but does not guarantee fulfilment within any specific timeframe for physical tasks.
7. Subscription Plans and Pricing
7.1 The Service is offered on a number of Subscription Plans. Full details of current plans, including pricing (inclusive of VAT), AI Hours, Human Hours, PA Email Account availability, Purchase Ceilings, and Processing Fees, are set out on Dream's pricing page at usedream.ai/pricing, which forms part of these Terms and is incorporated by reference.
7.2 By subscribing to a Subscription Plan, you confirm that you have read and understood the pricing page applicable at the date of your subscription. In the event of any conflict between the pricing page and these Terms, these Terms shall prevail except in relation to the specific pricing figures, which the pricing page governs.
7.3 Your Subscription Plan determines your monthly allocation of AI Hours, Human Hours, access to a PA Email Account (where applicable), your Purchase Ceiling, and the applicable Processing Fee. Unused hours do not roll over and expire at the end of each calendar month.
7.4 You may upgrade or downgrade your Subscription Plan at any time through your Account settings. Changes take effect at the start of the next billing cycle.
7.5 Dream reserves the right to amend its Subscription Plans and pricing. Any change to your subscription price will be communicated to you in accordance with clause 19 of these Terms with at least 30 days' prior written notice, during which time you may cancel under clause 16.1 without penalty.
8. Billing and Payment
8.1 By subscribing to the Service, you authorise Dream to charge your payment method the applicable subscription fee on a recurring monthly basis. Your first payment is taken upon Account activation.
8.2 Subsequent payments are taken on the same date each month as your initial subscription date. If that date falls on a non-business day, payment may be taken on the next available business day.
8.3 All subscription fees are paid in advance and are non-refundable, except as required by applicable consumer protection law or as expressly stated in these Terms.
8.4 Dream uses a third-party payment processor to handle subscription billing. Your full payment card details are held securely by the payment processor in accordance with PCI DSS standards and are not retained by Dream in their entirety.
8.5 If a payment fails, Dream will notify you and may suspend access to the Service until payment is successfully received. Dream will make reasonable attempts to retry payment before suspending your Account.
8.6 You are responsible for keeping your payment details up to date. Payment details may be updated at any time through your Account settings.
8.7 Dream AI Labs Ltd is registered for VAT in the United Kingdom (VAT Registration Number: GB 491262781). All Subscription Fees and Processing Fees are subject to UK Value Added Tax at the prevailing rate, which is included in the amounts displayed. Where required by law, VAT will be shown separately on any invoice or receipt issued to you.
8.8 Purchase amounts facilitated on your behalf are payments made directly to third-party merchants in their own right. Dream does not charge VAT on those amounts. VAT on any goods or services you purchase through the Service is governed entirely by the relevant merchant's own VAT obligations and their pricing. Dream's VAT registration does not extend to or affect the VAT treatment of third-party purchases.
9. Purchase Authorisation and Payment Processing
9.1 Purchase Authorisation Required.
Your PA may make purchases on your behalf only when you have provided explicit authorisation through the in-app confirmation feature ("Purchase Authorisation"). No purchase will be initiated without your Purchase Authorisation.
9.2 What your Purchase Authorisation means.
By tapping the confirm button in the Dream app, you:
- confirm that you have reviewed and accepted the purchase details, including the merchant, the purchase amount, and the description of the goods or services;
- irrevocably authorise Dream to charge your linked payment card for the purchase amount plus the Processing Fee displayed to you at the time of Purchase Authorisation, immediately and in full; and
- instruct Dream to proceed with completing the purchase on your behalf using a VCC once that charge has been successfully collected.
9.3 How we process your payment.
Upon your Purchase Authorisation, Dream will charge your linked payment card for the purchase amount plus the Processing Fee displayed to you at the time of confirmation. Dream will then use a VCC held in Dream's name to pay the merchant and complete the purchase on your behalf. The VCC is a corporate card controlled entirely by Dream; it is not linked to your card and is not directly accessible to you.
9.4 How Dream facilitates your purchase.
Dream is an AI Personal Assistant service that facilitates purchases on your behalf. When you provide a Purchase Authorisation, Dream charges your payment card for the purchase amount plus the Processing Fee, and uses a VCC held in Dream's name to complete the transaction with the merchant. Dream is the merchant of record for the charge to your payment card. The Processing Fee is Dream's service charge for facilitating the purchase — covering transaction processing and VCC operation. The underlying goods or services are provided by the relevant third-party merchant.
9.5 Purchase Ceiling.
Dream will not process any single Authorised Purchase that exceeds the Purchase Ceiling applicable to your Subscription Plan. Your Purchase Ceiling is set out on the pricing page at usedream.ai/pricing. If you require a purchase above your ceiling, you must upgrade your Subscription Plan or make the purchase yourself.
9.6 Your responsibility for Authorised Purchases.
By providing a Purchase Authorisation, you accept full responsibility for:
- the accuracy of the purchase details you have reviewed and confirmed;
- the purchase amount and the Processing Fee as displayed to you and accepted at the time of Purchase Authorisation; and
- compliance with the merchant's applicable terms and conditions in relation to the goods or services purchased.
9.7 Chargeback and payment disputes.
Dream maintains a timestamped record of every Purchase Authorisation, including the details confirmed by you at the time. By providing a Purchase Authorisation, you agree that:
- the charge to your card is made with your explicit prior consent and constitutes a valid and authorised transaction;
- you will not raise a chargeback or payment dispute with your card issuer in respect of an Authorised Purchase except where Dream has failed to process the corresponding purchase and has refused or failed to provide a refund under clause 9.9;
9.8 Failed purchases.
If Dream charges your card but the corresponding VCC purchase is unsuccessful (for example, because the item is out of stock or the merchant declines the transaction), Dream will refund the full amount charged to your card, including any Processing Fee, within 5 business days.
9.9 Merchant refunds.
If a merchant agrees to refund an Authorised Purchase (for example, because goods are faulty or a service is cancelled), Dream will, upon receiving confirmation of the refund from the merchant, return the corresponding amount to your linked payment card within 5 business days. Processing Fees are non-refundable in respect of merchant refunds, except where the purchase was not completed due to Dream's error.
9.10 Dream is not responsible for defects in goods or services purchased on your behalf, merchant errors, delays in delivery, or any other failure of a third-party merchant. Your statutory consumer rights in relation to goods or services are not affected by these Terms; however, any rights you have in relation to the quality or delivery of goods or services are rights against the merchant, not against Dream.
9.11 Processing Fee — live calculation and updates.
The Processing Fee is calculated dynamically at the time of each transaction and will always be clearly displayed to you within the Dream app before you provide your Purchase Authorisation. You will never be charged a Processing Fee that you have not been shown and accepted as part of that confirmation step. Dream may update the Processing Fee rate from time to time; any change to the rate will be reflected on the pricing page at usedream.ai/pricing and will apply to transactions confirmed after the updated rate takes effect. Dream will provide reasonable notice of any material increase to the Processing Fee rate via in-app notification or email.
9.12 Dream reserves the right to refuse to process a purchase if it reasonably believes the purchase to be fraudulent, unlawful, in breach of these Terms, or otherwise inappropriate, and will refund any card charge taken in connection with such a refused purchase.
10. Data Access and Privacy
10.1 To provide the Service, you grant Dream a limited, non-exclusive licence to access and process data and systems that you connect to the Service, which may include:
- your email accounts and mailbox content;
- your calendar and scheduling systems; and
- such other accounts, systems, or data as you choose to share with Dream in connection with specific tasks.
10.2 Dream processes your personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you confirm that you have read and understood the Privacy Policy.
10.3 Dream processes your personal data in compliance with the UK General Data Protection Regulation ("UK GDPR") and the Data Protection Act 2018. Dream AI Labs Ltd acts as the data controller in respect of your personal data and is registered with the Information Commissioner's Office (ICO Registration Number: ZB970704).
10.4 PA Memory.
To provide a personalised and consistent service, Dream stores data and information derived from your connected accounts and your interactions with the Service ("PA Memory"). PA Memory enables your PA to understand your preferences and maintain context across tasks. PA Memory may include:
- your stated preferences, habits, and standing instructions;
- historical tasks, correspondence, and interactions;
- purchase history and transaction records; and
- contextual information relevant to ongoing or anticipated tasks.
10.5 No third-party sharing.
Dream does not sell, rent, or share your personal data with third parties for commercial purposes. Your data is shared with third parties only:
- where necessary to complete a specific task that you have explicitly authorised (for example, sharing your delivery address with a merchant when making an Authorised Purchase); and
- where required by applicable law, regulation, court order, or to protect the rights, property, or safety of Dream, its users, or the public.
10.6 When sharing your data with a third party in connection with an authorised task, Dream will share only the minimum personal data necessary to complete that task.
10.7 Data retention and deletion.
Upon cancellation or termination of your Account, Dream will retain your personal data for the period set out in the Privacy Policy and as required by applicable legal obligations. You may request deletion of your personal data in accordance with your rights under UK GDPR by contacting privacy@usedream.ai.
10.8 Security.
Dream implements reasonable technical and organisational security measures to protect your data against unauthorised access, disclosure, alteration, or destruction. However, no data transmission or storage system is entirely secure, and Dream cannot guarantee absolute security.
11. Acceptable Use
11.1 You agree to use the Service lawfully and in accordance with these Terms. You must not use the Service to:
- engage in any fraudulent, deceptive, or illegal activity;
- harass, threaten, abuse, or cause harm to any person;
- send spam, unsolicited marketing communications, or abusive messages;
- access or attempt to access any systems, accounts, or data without proper authorisation;
- infringe any intellectual property, privacy, or other rights of any third party;
- violate any applicable local, national, or international law or regulation; or
- instruct Human Team members to perform tasks that are unlawful, dangerous, offensive, or otherwise contrary to these Terms.
11.2 You are solely responsible for the lawfulness and appropriateness of all instructions you give to your PA. Dream reserves the right to decline to fulfil any task that it reasonably considers to be unlawful, harmful, or in breach of these Terms, without liability to you.
11.3 You must not attempt to circumvent any Purchase Ceiling, hour allocation, or other restriction imposed by your Subscription Plan.
11.4 Dream reserves the right to suspend or terminate Accounts where there is credible evidence of misuse, abuse, or any violation of these Terms.
12. Intellectual Property
12.1 The Service and all related software, technology, trade marks, trade names, logos, and content developed by or belonging to Dream ("Dream IP") are owned by or licensed to Dream AI Labs Ltd. Nothing in these Terms transfers any Dream IP rights to you.
12.2 You retain ownership of all content, data, and information you provide to Dream in connection with the Service. You grant Dream a limited, non-exclusive, royalty-free licence to access and use that content solely to the extent necessary to provide the Service to you.
12.3 You must not copy, reproduce, modify, distribute, reverse engineer, or create derivative works based on the Service or any Dream IP without Dream's prior written consent.
13. Limitation of Liability
13.1 Statutory rights preserved.
Nothing in these Terms limits or excludes Dream's liability for:
- death or personal injury caused by Dream's negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be limited or excluded under applicable law, including your rights as a consumer under the Consumer Rights Act 2015.
13.2 General liability cap.
Subject to clause 13.1, Dream's total aggregate liability to you — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — in connection with the Service or these Terms shall not exceed six (6) months' subscription fees paid by you at the rate applicable at the time the claim arose.
13.3 Purchase-related liability cap.
Notwithstanding clause 13.2, Dream's liability in connection with any specific Authorised Purchase is limited to the value of that individual transaction as confirmed at the time of Purchase Authorisation.
13.4 Exclusion of indirect and consequential losses.
Subject to clause 13.1, Dream shall not be liable to you for any:
- loss of profits, revenue, or business opportunity;
- loss of anticipated savings;
- loss of data or information (beyond reasonable restoration costs);
- damage to business reputation or goodwill; or
- indirect, special, or consequential loss or damage of any kind,
whether or not Dream was advised of the possibility of such loss or damage at the time it arose.
13.5 Third-party services and merchants.
The Service involves interaction with third-party platforms, merchants, and service providers. Dream is not liable for the acts, omissions, errors, or failures of any third party, including merchants from whom Authorised Purchases are made.
13.6 Force majeure.
Dream is not liable for any failure or delay in providing the Service caused by circumstances beyond Dream's reasonable control, including acts of God, pandemics, government action, industrial disputes, power failures, or failures of third-party infrastructure.
14. Insurance
14.1 Dream maintains insurance appropriate to its business activities. Current cover includes:
- professional liability and technology liability insurance, covering products and services liability, breach of contract, sub-contractor vicarious liability, and regulatory costs;
- network security and privacy liability insurance, covering data breaches, privacy liability, and regulatory fines including PCI-related penalties;
- cyber incident response insurance, covering incident response costs, legal and regulatory costs, IT security and forensic costs, crisis communications, and privacy breach management;
- cyber crime insurance, covering funds transfer fraud, invoice manipulation, physical goods fraud, customer payment fraud, and theft of client funds; and
- general and public liability insurance.
14.2 Insurance coverage is maintained with reputable insurers and is subject to the terms, conditions, and limits of the applicable policies. Insurance details — including the insurer, coverage levels, and policy terms — may change from time to time as policies are renewed or updated. Dream will take reasonable steps to maintain adequate insurance cover for the nature and scale of its business activities.
14.3 The existence of Dream's insurance does not expand Dream's contractual liability to you beyond the limits set out in clause 13, nor does it create any direct right of claim by you against Dream's insurers.
14.4 Cyber and data incidents.
In the event of a data security incident, cyber attack, or privacy breach affecting your personal data, Dream will activate its incident response procedures, which may include engaging specialist third-party forensic, legal, and communications professionals. Dream will notify you and relevant authorities as required by applicable law, including the UK GDPR.
14.5 Client funds protection.
Dream maintains cyber crime insurance that includes cover for theft of client funds and customer payment fraud. This provides an additional layer of protection in the event that funds collected from you in connection with Authorised Purchases are subject to fraudulent interference. This insurance coverage is subject to the terms and limits of the applicable policy and does not guarantee recovery in all circumstances.
15. Indemnification
15.1 You agree to indemnify, defend, and hold harmless Dream AI Labs Ltd, its directors, officers, employees, contractors, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
- your breach of any provision of these Terms;
- your use of the Service in a manner not permitted by these Terms;
- any inaccurate, false, or misleading information you have provided to Dream;
- any instructions given by you to your PA that give rise to a third-party claim; or
- your infringement of any third-party intellectual property, privacy, or other legal rights.
16. Cancellation and Termination
16.1 Cancellation by you.
You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of your current monthly billing period. You will retain access to the Service until the end of that period. No partial refunds are provided for any unused portion of a billing month.
16.2 Termination by Dream.
Dream may suspend or terminate your Account with immediate effect, without prior notice, if:
- you materially breach any provision of these Terms and, where the breach is capable of remedy, fail to remedy it within 14 days of written notice from Dream;
- Dream reasonably suspects fraudulent activity or material misuse of the Service;
- you fail to make payment after reasonable notice from Dream; or
- Dream is required to do so by applicable law or regulatory obligation.
16.3 Termination by Dream.
Dream may also terminate these Terms on 30 days' written notice if it decides to discontinue the Service generally or in your region, in which case Dream will issue a pro-rated refund for any prepaid period beyond the notice period.
16.4 Effect of termination.
Upon cancellation or termination:
- your access to the Service ceases on the effective date of cancellation or termination;
- any pending Authorised Purchases will be cancelled unless already fulfilled;
- your PA Email Account (if applicable) and any associated email address will be deactivated; and
- Dream will handle your personal data in accordance with the Privacy Policy and applicable law.
16.5 Survival.
Clauses 10 (in respect of data already processed), 12, 13, 14, 15, 20, and 21 survive termination or cancellation of these Terms.
17. Consumer Rights
17.1 If you are a consumer within the meaning of the Consumer Rights Act 2015, you have certain statutory rights that cannot be excluded or limited by these Terms. These include the right to receive services performed with reasonable care and skill.
17.2 Where Dream fails to perform the Service with reasonable care and skill, you may be entitled to require Dream to re-perform the relevant aspect of the Service, or, where re-performance is not possible, to a price reduction.
17.3 Nothing in these Terms is intended to affect your statutory rights as a consumer.
18. Complaints and Dispute Resolution
18.1 If you have a complaint about the Service, please contact our support team in the first instance at hello@usedream.ai. We will acknowledge your complaint within 3 business days and aim to resolve it within 14 business days.
18.2 Dream does not currently participate in any formal alternative dispute resolution ("ADR") scheme. As required by the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015, we inform you that, in the event we are unable to resolve your complaint through our internal process, you may pursue your claim through the courts as set out in clause 20.
18.3 Nothing in these Terms restricts your right to bring proceedings before a court of competent jurisdiction.
19. Changes to These Terms
19.1 Dream reserves the right to amend these Terms from time to time to reflect changes in the law, the Service, or its business practices.
19.2 Dream will provide at least 30 days' written notice of any material changes, via email to the address registered to your Account or via in-app notification, before those changes take effect.
19.3 Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with any changes, you may cancel your subscription under clause 16.1 before the changes take effect.
19.4 Where a change is required to comply immediately with applicable law or regulation, Dream may implement that change without prior notice and will notify you as soon as reasonably practicable thereafter.
20. Governing Law and Jurisdiction
20.1 These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
20.2 Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms.
20.3 If you are a consumer resident in Scotland or Northern Ireland, you may also be entitled to bring proceedings in the courts of Scotland or Northern Ireland respectively, pursuant to applicable consumer protection legislation.
21. General
21.1 Entire agreement. These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Dream in relation to the Service and supersede all prior representations, agreements, or understandings.
21.2 Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions.
21.3 No waiver. Dream's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of that or any other provision.
21.4 Assignment. You may not assign, transfer, or sub-licence any of your rights or obligations under these Terms without Dream's prior written consent. Dream may assign its rights and obligations to any successor or acquirer of the relevant part of its business, provided your rights under these Terms are not materially diminished.
21.5 Third-party rights. These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
21.6 Notices. Notices from Dream to you will be sent to the email address registered to your Account. Legal notices from you to Dream should be sent to legal@usedream.ai.
21.7 Language. These Terms are written in English. In the event of any conflict between an English-language version and a translated version, the English version shall prevail.
